TERMS & CONDITIONS FOR WEBSITE DEVELOPMENT SERVICES#
This document outlines the official terms on ownership, project execution, payment, scope variations, and responsibilities of clients and service providers.
1. Ownership of Website Design and Development#
1.1 Client Asset Ownership#
The client remains the lawful owner of client business assets including domain name rights (subject to registrar payment), client-provided content, and client operational data.
1.2 Website Usage Rights#
After project payment is settled, the client is granted the right to use the published website deliverables for business, marketing, and organizational operations during active paid service continuity. Upon service termination, client entitlement is limited to export of client-owned data in accordance with these terms.
1.3 Technical Ownership and Restrictions#
All source code, repositories, deployment pipelines, infrastructure configuration, and operational credentials are owned and controlled by us.
- The client is not permitted to sell, transfer, assign, or relicense our technical components to any third party without our written consent.
- The client is not permitted to reuse, copy, modify, or extract our technical components to create a new website credited to another design or development party.
1.4 Intellectual Property Protection#
All creative elements, technical structures, design concepts, and development methodologies produced are protected under intellectual property principles. This clause protects the integrity of the work and our commercial interests.
1.5 Access and Operations Model#
Our services are delivered under a managed operations model. Production infrastructure, server-level access, control panel access, and operational credentials are maintained by us.
1.6 Source Code and Technical Handover#
No technical handover is provided under any circumstance. Source code repositories, deployment pipelines, infrastructure configuration, server credentials, and control panel credentials are excluded from transfer.
1.7 Data Portability#
Upon written request and settlement of outstanding dues, client entitlement is limited to export of client-owned operational data in practical formats, including website content, lead records, and e-commerce order data where applicable.
2. Ownership and Management of Domain Names#
2.1 Domain Name Registration#
Domain names are obtained through third-party domain registrars. If we manage registration on behalf of the client, the domain will be registered under the client as the registered owner.
2.2 Rights of Use#
After all registration-related payments are fully settled, the client has the right to use the domain for business or organizational purposes, regardless of service continuity with us.
2.3 Domain Renewal#
For managed domain services, renewal monitoring and renewal execution are handled by us according to the active service scope. The client remains responsible for timely settlement of renewal invoices to avoid expiry or suspension risk.
2.4 Disclaimer#
We are not responsible for loss, disruption, or damages caused by registrar-level events, policy enforcement, or failed renewal due to delayed client payment or unresolved account verification requirements.
3. Content Ownership and Copyright#
3.1 Content Provision#
All text, images, graphics, or other materials must be provided by the client, unless the client formally appoints us to provide content.
3.2 Client Warranty#
- Does not infringe any third-party copyright or intellectual property rights.
- Does not contain obscene, defamatory, or unlawful content.
3.3 Indemnity#
The client agrees to indemnify and hold us harmless against any claims, losses, or legal costs arising from the use of materials provided by the client.
4. Project Commencement#
The project will commence after at least one of the following conditions is fulfilled:
- Registration form is confirmed physically or electronically.
- A 50% project deposit has been received.
- Full payment is made if the project value is RM2,500 or less.
5. Payment Structure#
5.1 Deposit#
A 50% deposit of the quoted fee must be paid before work begins.
5.2 Final Balance#
The remaining 50% must be fully settled within 10 working days after project completion or website launch.
5.3 Late Payment#
If outstanding payment is not received within the required period, we reserve the right to suspend or terminate website access until all dues are settled.
5.4 Enforcement Costs#
All costs, expenses, or legal actions required to recover overdue payments are fully borne by the client.
6. Amendments and Scope Changes (Variations)#
6.1 Design Revisions#
Clients may request revisions to design proposals within reasonable limits. We reserve the right to limit the number of revisions. Any additional requests or changes beyond the original scope are subject to extra charges.
6.2 Specification Changes and Rates#

Variation charges are calculated based on actual hours required to complete the additional work.
7. Changes to Service Terms#
We reserve the right to update, amend, or modify any part of these terms and conditions at any time.
Any amendments take immediate effect once published via our website, email, or other communication channels designated by us.
Clients are responsible for reviewing these terms periodically. Continued use of our services after amendments constitutes acceptance of the updated terms.
Additional Terms for Other Services#
The terms below apply specifically to non-web-development services offered by us and should be read together with the general terms above.
SEO Strategy Service Terms#
- SEO is delivered on a best-effort basis and does not guarantee specific ranking positions, traffic volume, or conversion outcomes.
- Client agrees that search performance may be affected by algorithm updates, competitor activities, technical debt, and content quality factors beyond our direct control.
- SEO implementation follows publicly available search engine guidelines and best practices, including Google Search Essentials, as updated from time to time.
Google Ads Management Service Terms#
- Advertising budget, media spend, taxes, and platform charges are billed through our managed operations model.
- Campaign performance is influenced by market competition, bid environment, audience quality, landing page quality, and platform policy restrictions.
- Account suspension, ad disapproval, or policy enforcement by Google is governed by Google's policies and appeals process, and we do not guarantee reinstatement outcomes.
- Account administrative access and billing workflow are managed by us under the active service term. Client reporting and performance governance remain transparent through scheduled reports.
Domain Assets Service Terms#
- Domain registration and transfer are subject to registrar and registry rules, including ICANN policy requirements where applicable.
- Renewal workflow and monitoring are managed by us for active managed subscriptions, while client payment obligations remain applicable to avoid expiry, transfer lock issues, or suspension risks.
- Transfer timelines, authorization flows, and lock periods are controlled by registrar-level compliance processes and may not be expedited by us.
Cloud Hosting Service Terms#
- Cloud security and operations follow a shared-responsibility model: infrastructure provider obligations differ from client-side data, access, and application obligations.
- Planned maintenance windows, emergency patching, and dependency updates may require temporary service impact, with reasonable notice where practicable.
- Backup and disaster recovery procedures reduce risk but cannot guarantee zero data loss or immediate restoration in every incident scenario.
- Root, server, and control panel credentials are retained under managed operations and are not transferred.
Google Workspace Management Service Terms#
- Workspace services, licensing rights, and product changes are governed by Google's official terms and subscription conditions.
- Client is responsible for administrative approvals, user identity governance, account lifecycle instructions, and internal compliance of organization users.
- Seat adjustments, add-on licensing, and annual pricing changes by Google may affect final billing amounts and renewal costs.
Webmaster Services Terms#
- Retainer deliverables are limited to tasks and service levels stated in the active package scope and monthly allocation.
- Major feature development, emergency incident response, forensic recovery, and third-party paid tools are chargeable outside retainer scope unless explicitly included.
- Website uptime, third-party plugin compatibility, and provider-side outages are managed with best-effort mitigation but cannot be guaranteed as zero-risk.
E-Commerce Automation Service Terms#
- Integration with payment gateways, logistics, and marketplaces depends on third-party API availability, policy updates, and technical limits outside our direct control.
- Gateway charges, transaction fees, app subscriptions, chargebacks, and fraud losses remain the client's responsibility unless otherwise agreed in writing.
- Where payment flows involve card data obligations, client remains responsible to ensure applicable PCI DSS and legal compliance according to chosen integration method.
